Michael S. AbrilPartnerBakersfield Office Michael S. Abril is a Partner in the Bakersfield office of Borton Petrini, LLP. Michael did his undergraduate work at the University of California, Davis. He received his MBA and J.D. degrees from the University of Southern California in 1986. Mr. Abril specializes in business and real estate transactions, business bankruptcy, land use, and internet law. Michael relies on his business and law degrees in representing clients in an array of business and real estate transactions, ranging from his representation of the developer of the City in the Hills Master Planned Community, to his representation of The Bakersfield Californian’s various interactive media initiatives. Michael also served as local counsel in several multi-million dollar transactions, including Plains All America, Inc.’s acquisition of the All American Pipeline from Goodyear Tire & Rubber Co. (lender’s counsel), EOTT Energy Operating Limited Partnership’s acquisition of a gas fractionalization plant and related pipelines at the Coles Levee field from Koch Refining Co., and representing the minority shareholders in connection with the sale of all shares of Walter Mortensen Inc. to Guaranty Bank. Michael also represents San Joaquin Valley College on all leasing transactions. On the business side, Michael, among other things, organizes new corporations and limited liability companies; monitors corporate governance matters for existing business entities; advises officers and directors on operational matters; and handles mergers and acquisitions for buyers and sellers of corporate assets or stock. Michael’s real estate experience is equally extensive as he handles both real estate transactions and land use matters for various clients. On the bankruptcy side of his practice, Michael has worked on numerous well-known corporate reorganizations, including representing BankOne, Columbus N.A. in its capacity as an indenture trustee in the Leisure Technologies, Inc. Chapter 11 case and a non-debtor contractual party in the Calpine Chapter 11 case. Michael confirmed a plan of reorganization for a local cogeneration facility. He also won an appeal before the United States Court of Appeals for the Ninth Circuit in In re Bakersfield Westar Ambulance, Inc. (Parker v. Community First Bank), 123 F.3d 1234 (9th Cir. 1997). He received another favorable decision in the same case (different adversary proceeding) in 1998: In re Bakersfield Westar Ambulance, Inc., (Parker v. Saunders) 226 B.R. 227 (Bankr. 9th Cir. BAP 1998). Mr. Abril is a certified specialist in business bankruptcy law, receiving his certification from the American Board of Bankruptcy Certification in 1995. Michael’s successful practice is enhanced by his involvement in a variety of cultural, educational and professional affiliations. He currently serves on the Board of Directors of the Bakersfield Museum of Art and chairs the Steering Committee for the Kern Economic Development Corporation Business Incubator Initiative. Michael formerly served as a Director of the Kern County Bar Association and as Co-Chair of the Agri-Business Committee of the Business Law Section of the State Bar of California. Michael is a member of the American Bankruptcy Institute, the Financial Lawyers Conference, the Business Law and Real Property sections of the State Bar, and the Central California Bankruptcy Association. Michael, who was born and raised in Bakersfield, California, is married to Alice; is the father of daughters, Paige and Taber, and son, Blair; and considers his Boston Terrier, Bruno, as part of his immediate family. |
